Confidentiality Agreement
Seller has determined to offer for sale certain assets. In connection therewith, Seller has determined to permit the person receiving
these documents ("the receiver") to receive and inspect these documents, leases, and other information relating to these assets.
This information may include economic, commercial, marketting and financial information that is confidential and / or proprietary
in nature. Therefore, Seller has determined to require the receiver to execute and deliver this Agreement as a condition of its receipt
and inspection of the confidential documents.
The Receiver agrees thats its receipt and inspection of the confidential information shall be solely to conduct the due diligence:
(1) determine whether or not to submit a bid to purchase some or all of the assets, or (2) determine whether or not to provide insurance
or reinsurance or other credit enhancement with respect to the assets or with respect to any securities backed by or representing an
interest in the assets. IN WITNESS THEREOF, A DULY AUTHORIZED REPRESENTATIVE OF THE RECEIVER HAS EXECUTED THIS
